VentureFlow - the ultimate Web3 VC SaaS platform

## What is VentureFlow?

VentureFlow is a comprehensive SaaS platform designed for Web3 venture capital firms, with a focus on streamlining various aspects of the investment process. Its features include lead, investment, and deal flow management, which enable different roles within the firm to collaborate effectively. The tool also offers vesting schedule reminders, portfolio analysis, and other functionalities to empower the team and improve the overall efficiency of the firm.

## Getting Started

Launch the web app at <https://app.ventureflow.xyz/>

We recommend using Google Chrome

1. Sign up with username, password and verification code.
2. Create an Organization.
3. Invite other users to your organization and assign roles to them. Easily search username to invite.
4. Create a team and set up a team leader (if applicable).

View [User Management](/user-management) to learn how to set up teams and assign roles.

5. If you are the organization admin, please create a [fund](/fund-management) for investment and a [wallet](/wallet-management) for receiving investment tokens. (If you are NOT admin role, skip this step).

# Leads Management

## Public Leads and My Leads

Leads management includes **Public Leads** and **My Leads**. Public Leads is where all users in the organization can view the basic information of leads. If a lead is unclaimed, any user can claim it and move it to My Leads to follow up on and edit details such as fundraising, meeting memos and records, etc. My Leads is the panel for all the leads you have claimed and are following up on.

## How to Add Leads

There are three entries to add leads: Public Leads, My Leads and My Deals.&#x20;

Simply click on the right upper corner “Add Leads” to edit basic information of a lead. All new leads will be saved in Public Leads for users to view and claim.

## How to Edit Basic Information Section in Leads

If you need to edit leads' basic information such as name, description, team, social media, deck, etc. There are a few entries including the Public Leads list, My Leads list, My Deals list, and the deals detail page. Click on "Edit" to amend basic information.

## How to Edit Details in Leads&#x20;

If you need to edit leads' detailed information such as lead status, score, fundraising, investment, meeting memo and records, attachments, etc. Click on the lead name or “Detail” to enter the lead detail page.

## What is Lead Status

Status represents the different stages of a lead. Deal manager and invited editor can change the lead status anytime during the deal flow.

In the lead stage it includes:&#x20;

* **Unreviewed** - you have NOT reviewed this lead information and deck;
* **Reviewed** - you have reviewed the lead but have NOT made the investment decision yet;
* **Committed** - you have the internal meeting and make the investment commitment to the deal.
* **Passed** - the lead is NOT qualified to invest.

In the deal stage, it includes:

* **Term sheets** - the deal is under the process of signing investment term sheets;
* **Fund transferred** - you have transferred the investment capital to complete the deal;
* **Token distributing** - the investment is under token distribution period;
* **Dead** - the investment has concluded/failed and you expect to receive no additional return.

Please note that when status is under the lead category, the lead will move to the My Leads panel. When status is under deal category, it will move to the My Deals panel.

## What is Lead Score

Lead score function allows users to rate leads. The specific rating scales are defined by your own company. It can help you review and re-evaluate your investment decisions at the time.

## How to change Deal Manager

If a lead is not being followed up well or there is a change in personnel on the team, the organizational administrator and team leader can reassign the lead to another deal manager at any time on the lead detail page. Click on “CHANGE” to reassign another deal manager.

## How to Add/Edit Fundraising Information

On the lead detail page, the fundraising section displays the latest financing information of the lead including the round of investment, valuation, target financing amount, type of investment, lead investor and other investors information. You can edit the fundraising information by clicking the "add/edit" button.

## Memo and Meeting Records

### Memo

Memo is the meeting minutes with the project team. On the lead detail page, memo section, click on “Add Memo” to edit the content. You can set who can see this memo:

* **Private** - only you can see the memo;
* **Team** - only you and the lead editor can see the memo;
* **Public** - anyone in your organization can see the memo.&#x20;

If you need to remind yourself to follow up in the future, you can set a reminder. Bind your Google Account on the Remind page to allow the reminder to [sync with your Google Calendar](/vesting-and-meeting-reminder#how-to-sync-with-google-calendar).&#x20;

### Meeting Records

Meeting Records are the firm internal meeting minutes including investment decisions, discussions, etc for the team to review your progress during the deal flow. You can create polls and select attendees to vote on investment decisions.

On the lead detail page, Meeting Records section, click on “Add Meeting Records” to edit the content. You can also set who can see this meeting record:

* **Creator** - only you can see the record;
* **Attendee** - only you and the meeting attendees can see the record;
* **Public** - anyone in your organization can see the record.&#x20;

You also can set a reminder to remind yourself. [Sync the reminder with your Google Calendar](/vesting-and-meeting-reminder#how-to-sync-with-google-calendar) if you have bind your Google Account.

## How to Invite Editor

Editor is a role designed to help the deal manager to update the lead/deal information in the platform. Sometimes the deal manager is too busy with the deal sourcing, meeting project teams, travelling, etc. Editor is a perfect role to cover the administrative work. On the lead detail page, editor section, click on “Edit” to choose a user. The editor can edit all the information sections on the lead detail page.

# Deals Management

## How to Convert a Lead to a Deal

In a lead detail page, simply click on the “Status”, choose any [status](/leads-management#what-is-lead-status) under deal category (Term sheets, Fund transferred, Token distributing or Dead), the lead will move to the My Deals panel.

## How to Add/Edit Investment Information

On the lead detail page, the investment section displays the investment information of this deal. Usually during the term sheets period, the deal manager can add the essential investment information including the round of investment, investment amount, purchased token, (the price will be calculated automatically), and which fund in your firm to invest in this deal. Click on “Add Investment” or “Edit” to edit the content.

## How to Add/Edit Vesting Schedule

Vesting Schedule is designed for token type investment to track the token distribution to you. This section will give you a clear overview of tokens status, how many tokens purchased in the investment, how many tokens are released and how many remain in lock-up.

You can add multiple vesting schedules manually or add a liner vesting schedule. The reminder will be set automatically according to the schedule and [sync with your Google Calendar](/vesting-and-meeting-reminder#how-to-sync-with-google-calendar) if you have bind your Google Account on the Reminder page.&#x20;

### Add Vesting Schedule Manually

Click on “Add Vesting Schedule”, select investment round, input vesting amount OR vesting percentage and vesting date.

### Add Linear Vesting Schedule

Click on “Add Linear Vesting”, select investment round, input vesting amount OR vesting percentage. Select the date to start unlocking, how many days to unlock every interval, and how many repetitions. For example, unlock 15% every quarter, and unlock completely in 2 years. Then you can input 15%, 90 days, 8 times respectively.

The vesting information will display different status as below:

* **Lock** - represents that the token is locked and the unlock date has not arrived;
* **Unlocked** - means tokens are released to you, but finance has not yet confirmed if the wallet has received the corresponding token;
* **Confirmed** - means tokens are released to you and finance has confirmed that the wallet has received the corresponding token;
* **Abnormal** - represents that the token has not been released on time or the unlock amount is incorrect.

Please note that only the Finance and Org Admin roles in your organization can edit the receiving wallet and check whether the wallet receives the token. **Checking and confirming the token has been received is an important step as it will affect the sell record and the calculation of the overall investment performance.**

## How to Add/Edit Sell Record

The Sell Record section displays the investment exit information. Click on “Add Record” to edit. It will help you monitor how many tokens are sold, calculate the average selling price, realized return on the investment, and how many tokens remain unsold. The value for unsold token and lock-up token are calculated by token market price which sync with Coingecko price API.

## How to Sync Market Price of Token

In a lead detail page, find the price section.

1. Add token symbol (eg. ETH) and Network (eg. Ethereum).
2. Refresh the lead detail page, click on the setting icon in the price section.
3. Choose market price API or update price manually.
4. If you choose API, input token symbol and select to save.
5. If you choose to update the price manually, just input the price and save

**Please note that syncing with market price is an important step as it will affect the calculation of the overall investment performance.**

# Fund Management

The fund panel makes it easier for the firm to manage its multiple sub-funds. You can easily check and monitor the fund performances on one page, such as fund investments, invested capital, realized, unrealized, ROI, etc.

Click on “Add Fund” to edit fund information. Click on fund name or “Detail” to check each fund’s performance and portfolios.

# Vesting and Meeting Reminder

Remind Centre aggregate all reminder information including Memo, Meeting Records and Vesting reminder. Different colour icons represent different reminder status:

* Blue - the upcoming reminder;
* Red - the overdue reminder;
* Grey - the reminder is resolved.

Blue and red reminders will also display on the My Deals panel. Click on “Resolve” to remove the reminder.

## How to Sync with Google Calendar

Click on “Authorize Google” to bind with your Google Account. During the Beta Testing version, click on “Advanced”, “Go to ventureflow\.xyz” and “Continue” to allow binding. You can sign out to unbind anytime.

The reminders will sync with your Google Calendar automatically, or click on “sync” to do it manually.&#x20;


# Dashboard and Analytics

Dashboard displays an overview of your workflow, gives you a clear glance at your leads and deals summary, deals performance, etc. As the role of team leader, you can have an overview of team leads/deals summary and deal managers performance to track the team working load.

Analytics panel gives you more insights into leads and deals reports including their summary, status, categories distribution, and various performance metrics in different scope including deals, teams, funds, etc. You can easily export data for further statistics and study.

# User Management

User management panel is designed for the organization admin to manage the user roles and team organization. Different roles have different authority and access to different data. Learn more about roles authority below to create a smooth collaboration within your firm.

### How to Invite Users into Organisation

In Beta Testing Version, when you're invited as an organization admin, you are able to invite other signed up users into your organization and assign roles to them.

* **Normal** - ordinary users, usually are deal/investment managers who can manage leads/deals information.
* **Finance** - firm finance, who can manage funds, wallets and confirm token vesting info.
* **Org admin** - the most essential role of the organization, who can have all of the access and edit authorities.

### How to Create A Team

If you need to add and manage multiple teams in your firm, goto the Team page / List / Create Team. Select the team and add team members. Choose one of them as the team leader who can view the team data via Dashboard and Analytics panels.

# Wallet Management

Wallet panel is for the finance role in the organization to manage the token receiving wallet list. Simply click on “Add Wallet” to edit wallet name, select network, input wallet address.

In the deals investment section, the finance can choose the token receiving wallet of the investment and edit the financial record.

# Glossary

#### I**nvestment Round**

Investment Round indicates the current stage of the investment.

#### Score

Lead score function allows users to rate leads. The specific rating scales are defined by your own company. It can help you review and re-evaluate your investment decisions at the time.

#### Amount Invested

Your total invested capital in the deal.

#### Total Purchased Token

The total amount of token you purchased through all investments you made on this project.

#### Average Price Per Token

The average price per token of all your investments on this project.

It is calculated as Total Amount Invested / Total Purchased Token.

#### Total Vested Amount / Total Released

The total amount of token has been released to you.

#### Total Lock Amount / Total Lock-up

The total amount of token has NOT been released to you.

#### Total Sold Amount

The total amount of token has been sold on the marketplace.

#### Unsold Vested Token

The amount of token has been released to you but not yet sold.

#### Sold Price (Avg.)

The average selling price of all your trading history.

#### Unsold Token Value

The market value of the token has been released to you but not sold yet.

#### Lock-up Value

The market value of the token in lock-up status.

#### Receiving Wallet

The wallet address to receive the released token of this investment.

#### Unlock Date

The date the project started this round of token release.

#### End Date

The date when the project ends this round of token release.

#### Released / Due

The amount of token has been released and the amount of token due to be released according to the vesting schedule.

#### Total Paid-in Capital

The sum of capital contributed by LPs to all funds in your organization.

#### Total Invested

The sum of invested capital of all funds in your organization.

#### Realized

The total actual amount of cash return on the deal.

#### Unrealized

The current market value of any unrealized gains of the investment, including unsold vested token and lock-up token.

#### ROI

Return on Investment, the net gain on your investment, calculated as (Realized + Unrealized - Amount Invested) / Amount Invested x 100.

#### Multiple / MOIC

Multiple on Invested Capital, calculated as (Realized + Unrealized) / Amount Invested.

#### TVPI

Total Value to Paid-in Capital. Here is the gross TVPI and calculated as (Realized + Unrealized) / Total Paid-in Capital.

#### RVPI

Residual Value to Paid-in Capital, calculated as Unrealized / Total Paid-in Capital.
